11 About these terms
These Terms of Service (“Terms”) govern your access to and use of the ChemShopee website, catalogue and related services (together, the “Platform”), operated by ChemShopee Technologies Pvt Ltd (“ChemShopee”, “we”, “us”).
By registering an account, browsing the catalogue, placing an order or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
22 Who can use ChemShopee
ChemShopee is a business-to-business (B2B) marketplace. It is not intended for individual consumers.
- You must be a registered business, institution or laboratory with a valid GSTIN.
- The person registering must be authorised to enter into contracts on behalf of that entity.
- You must be at least 18 years old and legally capable of contracting under the Indian Contract Act, 1872.
- You must hold any licences legally required for the materials you intend to purchase.
We may refuse, suspend or terminate registration where these conditions are not met.
33 Our role as a marketplace
This is the most important section to understand. ChemShopee is an intermediary platform, not the seller of the goods.
- Products listed on the Platform are sold by independent third-party vendors, not by ChemShopee.
- The contract of sale for any product is formed between you and the vendor. ChemShopee facilitates that contract, the Purchase Order process and the collection of payment.
- The vendor is responsible for the accuracy of their listing, the quality and specification of the goods, batch documentation, packing and dispatch.
- We verify vendor credentials and monitor performance, but we do not manufacture, test or take title to the goods.
44 Accounts and verification
To transact you must register an account and complete verification. You agree to provide accurate, current and complete information, and to keep it updated.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorised use of your account.
- We may require additional documentation for certain restricted or hazardous products.
55 Orders and the Purchase Order flow
Orders on ChemShopee follow a defined five-stage process:

| 3. Vendor confirms | The vendor verifies stock availability and accepts the PO. | Contract of sale formed between you and the vendor. |
| 4. Payment | Payment against the confirmed PO is collected. | You are charged at this point, not before. |
| 5. Fulfilment | The vendor packs, dispatches and the order is tracked to delivery. | Risk passes on delivery to your nominated address. |
Completing checkout raises a Purchase Order and constitutes an offer to purchase on the terms shown. A binding contract of sale arises only when the vendor accepts and confirms the PO. If a vendor does not confirm, the PO lapses and no charge is made.
66 Pricing, payment and taxes
- Prices are set by vendors and are inclusive of GST unless the listing states otherwise.
- Shipping charges and any hazardous-handling surcharge are calculated at the PO stage and shown before confirmation.
- Minimum order quantities (MOQ) are set per listing and displayed on the product card.
- Payment is collected only after the vendor confirms the PO under section 5.
- A GST invoice is issued by the selling vendor and made available in your order dashboard.
- We reserve the right to correct pricing errors and to cancel any PO affected by an obvious error, with a full refund of anything already collected.
Registered businesses may apply for credit terms. Credit is granted at our discretion and is subject to a separate written agreement.
77 Shipping, delivery and hazardous goods
Dispatch times are set by the vendor and shown on each listing. Transit time varies by destination and by the class of material.
- Hazardous and restricted materials are shipped through licensed transport partners under applicable transport rules.
- Certain products require an end-use declaration or licence from you before dispatch. You will be prompted to upload it during the PO stage.
- Some materials cannot be shipped to certain destinations due to legal or carrier restrictions. Where this applies it is flagged on the listing.
- You are responsible for providing accurate delivery details and for ensuring the delivery site can lawfully and safely receive the material ordered.
- Risk in the goods passes to you on delivery to the address you nominate.
88 Cancellations, returns and refunds
- Before vendor confirmation: you may cancel at any time at no cost, since no payment has been collected.
- After confirmation, before dispatch: cancellation is subject to the vendor’s terms as shown on the listing. Contact your account manager and we will coordinate.
- After dispatch: hazardous and made-to-order consignments generally cannot be cancelled or returned.
- Non-conforming goods: if material does not match the specification on the listing, report it within 48 hours of delivery with supporting photographs and batch documentation.
Approved refunds are made to the original payment method, ordinarily within 7β10 working days of approval. Refunds of shipping charges are made only where the fault lies with the vendor or with us.
99 Vendor obligations
If you register as a vendor, you additionally agree that you will:
- List products accurately, including grade, purity, pack size, MOQ and dispatch time.
- Maintain current stock status and confirm or decline Purchase Orders promptly.
- Supply MSDS, CoA and TDS documentation with every consignment.
- Hold and maintain all licences required to manufacture, store, sell and transport the materials you list.
- Pack, label and dispatch in compliance with applicable transport and hazardous goods regulations.
- Issue a valid GST invoice for every completed order.
Commission rates and settlement schedules are set out in your vendor agreement. Persistent failure to confirm listed stock, or to meet advertised dispatch times, may result in suspension or removal from the marketplace.
1010 Prohibited use
You must not use the Platform to:
- Purchase or supply any material in breach of applicable law, licensing or export control.
- Obtain controlled substances, precursors or restricted material without the required authorisation.
- Resell to, or procure on behalf of, any party you know to be prohibited from receiving the material.
- Misrepresent your identity, business, GSTIN or licensing status.
- Scrape, reverse engineer, overload or interfere with the Platform or its security.
- Post false, misleading or defamatory reviews, listings or vendor claims.
1111 Product compliance and licensing
Chemicals are regulated. You are responsible for satisfying yourself that you may lawfully purchase, store, handle, use and dispose of any material you order, and for holding any licence or authorisation required to do so.
ChemShopee may request evidence of licensing at any time and may refuse or cancel an order where that evidence is not provided. Nothing on the Platform constitutes safety, regulatory or professional advice β always consult the Safety Data Sheet and your own competent adviser.
1212 Intellectual property
The ChemShopee name, logo, design, and the compilation of the catalogue are owned by ChemShopee Technologies Pvt Ltd and protected by applicable intellectual property law. Vendor names, product brands and their marks remain the property of their respective owners.
You may not copy, reproduce or use our branding without written permission. By submitting listings, images or reviews you grant us a non-exclusive licence to display that content on the Platform.
1313 Liability
Because ChemShopee is an intermediary and not the seller:
- We are not liable for the quality, specification, safety or fitness for purpose of goods supplied by a vendor.
- We are not liable for a vendor’s failure to perform, delay in dispatch, or breach of their contract with you.
- We are not liable for loss or damage arising from your handling, storage, use or disposal of any material.
Nothing in these Terms excludes liability that cannot lawfully be excluded β including liability for fraud, or for death or personal injury caused by our negligence. Subject to that, our total aggregate liability arising out of or in connection with the Platform is limited to the platform fees or commission we actually received in respect of the order giving rise to the claim.
We are not liable for indirect or consequential loss, including loss of profit, production, contracts or goodwill.
1414 Suspension and termination
You may close your account at any time. We may suspend or terminate access β with notice where reasonably practicable β if you breach these Terms, if verification information proves false, if we are required to do so by law, or where we reasonably suspect fraudulent or unlawful activity.
Termination does not affect rights or obligations already accrued, including payment obligations for confirmed orders.
1515 Governing law and disputes
These Terms are governed by the laws of India. Subject to the paragraph below, the courts at Chennai, Tamil Nadu have exclusive jurisdiction.
We ask that you first raise any dispute with your account manager, as most issues are resolved directly. Disputes between a buyer and a vendor concerning the goods themselves are matters between those parties, though we will assist with documentation and mediation where we reasonably can.
1616 Changes to these terms
We may update these Terms from time to time. Where changes are material, we will notify registered users by email or through the Platform before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
The “last updated” date at the top of this page always reflects the current version.
